José Luis Barrios-Ramos is an experienced counsel with over 18 years advising clients on Tax Incentive Laws, Real Estate Transactions, Corporate Governance and representing clients on commercial litigation and in bankruptcy proceedings. Mr. Barrios actively advises Investors on Puerto Rico Tax Incentives Law, including Act 60 (which incorporates incentives under the former Act 22, Act 20, Act 73, Act 185 and the recently enacted Opportunity Zones Local Act). As part of his corporate practice, Mr. Barrios advises Real Estate Developers in construction contracts, structuring capital and commercial loans, regulatory and permitting procurement and provides a range of notary services. Mr. Barrios also advises Private Equity Funds and Financial Institutions in structuring and documenting credit transactions of all types and amounts and has assisted banking clients in the purchase of assets of failed financial institutions, and in the acquisition and sale of leasing and financing operations, portfolios of loans, leases, and other assets.
Mr. Barrios represented creditor's with significant financial and policy interest on the PROMESA proceedings, including AMPR and AFT, former members of the Unsecured Creditor's Committee. As part of this representation, Mr. Barrios successfully reached court agreements with the Oversight Board and Commonwealth of Puerto which resulted in a $4.5 million Litigation Settlement and assisted as co-counsel in Court Orders enforcing statutory protections for Commonwealth employees' retirement contributions and for the modification of the PROMESA automatic stay for the resolution of CBA grievances and arbitrations. Mr. Barrios also provides advice to clients subject to avoidance actions in local and national bankruptcy cases, such as those of Sears and Kmart.

Mr. Barrios obtained a Bachelor's degree in Labor Relations in 2001 (Magna Cum Laude) from the University of Puerto Rico and a Juris Doctor degree in 2005 (Magna Cum Laude) from the Pontifical Catholic University of Puerto Rico. Mr. Barrios is admitted to practice in the Commonwealth of Puerto Rico, the U.S. District Court for the District of Puerto Rico, the U.S. Court of Appeals for the First Circuit and is also a Notary Public. As a law student, Mr. Barrios clerked for U.S. District Court Judge, Hon. Daniel R. Domínguez. During that same period, he also published the article: Analysis of the Effects of a Consumption Tax in Puerto Rico, 42 REV. DER. P.R. 1 (2003). Mr. Barrios commenced his law practice in 2006 as an associate in the litigation department of Martínez Odell & Calabria. Thereafter, he established a successful private practice centered in bankruptcy, commercial litigation and advising financial institutions in a wide range issues, including asset purchases, loan portfolio acquisitions, regulatory matters and creditor’s rights. In 2011, Mr. Barrios joined a Boutique Law Firm in San Juan with a practice centered in Banking and Securities Law were he represented and advised investment companies, investment funds, financial institutions, credit unions, government and municipal entities in regulatory matters, derivative suits, administrative proceedings and complex arbitration proceedings.
In 2016, Mr. Barrios became a Special Of Counsel for Cancio, Nadal, Rivera & Díaz, P.S.C. Mrs. Emmanuelli is an experience counsel with over 10 years of corporate insurance experience. Mrs. Emmanuelli served for 8 years as In-House Counsel for a local Insurance Company wherein she was responsible for drafting internal memoranda, rendering legal advice to management of the Company on compliance with all regulatory aspects before the Commissioner of Insurance, compliance assessments of all National Data Bank and state regulatory reporting requirements, development of reports to reinsurers and internal compliance with the terms of the treaties, the development of internal and external guidelines and assessments of risk based on claims, establishing timely and accurate expenses and indemnity reserves, selection and engagement of external counsels, development and modification of the Companies reinsurance contracts, insurance policies, disclosures as well as the company’s bylaws and corporate governance charter. Mrs. Emmanuelli was also task with the supervision of a legal team comprised by 5 attorneys and the supervision of all of the active claims and litigations being handle by the in-house and outside counsels of the insurance company.
